Terms of Services "Terms"Welcome to Narkuhs Platform (“Narkuhs” or “We”). These are the terms and conditions (“Terms” or “Agreement”) governing Narkuhs’ platform (the “Platform”) and its related services, and tools.PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.Narkuhs reserves the right, at its sole discretion, to change, modify, add or remove sections of these Terms, at any time. It is your responsibility to check these Terms periodically for any changes. By accessing, using or continuing to use the Platform, requires choosing and pressing the word ''Agree'' confirming your agreement to be legally bound by these Terms . If you do not agree to any of these Terms, please do not use the Platform. All rights not expressly granted to you in these Terms are expressly reserved by Narkuhs.GENERAL TERMSNarkuhs Platform services will include but not limited to:
a) illustration,
b) character design,
c) character sheet,
d) v-tuber/live2d model, and
e) merchandise designNarkuhs may provide any of its Platform services through third parties, which will be subject to Narkuhs’s terms and conditions and/or the third party’s policies.Placing Your Order• Commissioner has to use the electronic form on the Narkuhs Portal to place its order.
• Order will be priced based on complexity of work; illustration, character art (design, character sheet), timeline required to deliver and rounds of revisions.
• Orders will be accepted within 2-3 business days form being placed by the commissioner .
• Commencement of work will be upon the settlement of payment as indicated under the Payment Section.COMMISSIONER’S ELIGIBILITY• As a Commissioner you represent and warrant that you have the full legal capacity to use Narkuhs’ Portal.
• You will not impersonate any person or entity, or otherwise mislead as to the authenticity of information you share with reach out to Narkuhs.
• You will not share any information that is subject to any confidentiality duty and/or use any third party’s intellectual property work without a proper and legal authorization.
• You agree that any communications between Narkuhs and you will be sent and received electronically and that all agreements, notices, disclosures, and other communications exchanged between you and Narkuhs electronically are legally valid and considered to have satisfied any legal requirements to have such communications in writing.
• You represent and warrant to Narkuhs that (a) you are over the age of eighteen (18) years and have the power and authority to enter into and perform the obligations under these Terms, and (b) all information provided by you to Narkuhs through its Platforms are accurate and complete.ON BECOMING COMMISSIONER OF NARKUHS, YOU ACKNOWLEDGE AND AGREE:• Not to have acquired any intellectual property rights using the Portal or when downloading or printing any of the copyrighted material, or by using the website of Narkuhs.
• You will not use the terms Narkuhs or any derivatives or such terms as part of your screen-name or username except as stated in these Terms and in all cases after obtaining the prior written approval of Narkuhs.
• If you provide any information that is untrue, inaccurate, not current, misleading, or incomplete, that violate any of your obligations and/or representation or warranties provided herein, or if Narkuhs has reasonable grounds to believe that such information is untrue, inaccurate, not current, or incomplete, or not in accordance with these Terms, and without prejudice to any other rights and remedies Narkuhs may have under these Terms or at law, tort, equity or otherwise, Narkuhs has the right to indefinitely suspend, limit, or withdraw your order and restrict your access to the its electronic website. Narkuhs also reserve the right to cancel unconfirmed/uncompleted orders.SPECIAL TERMSIn providing my Services, the following should be observed:
• Don’t rush me. Rushed orders cost an additional 50% of the original commission price.
• You acknowledge that I'm a digital illustrator and my work is digital only.
• My work is for personal or private use only, that said, it is strictly prohibited to use my art for unauthorized commercial marketing purposes unless the same have been specifically accorded at the time the order is made and a special royalty is agreed.
• As an artist, I maintain all and absolute intellectual property rights and ownership of my works; this includes publishing the work on my socials, adding it as a part of my portfolio, including, but not limited to, the work in art books and editorial projects, selling prints of my artworks (previously commissioned or not, including designs, packages, illustrations, character sheets, live2D models).
• Neither commissioner nor anyone else is allowed to edit, trace, copy, or remove the watermark from the finished product/deliverable.
• You're not allowed to claim my art as your own based on any ground available at law or otherwise, even in the case of a paid commission and Narkuhs reserve the absolute and exclusive right to the completed work.
• (©Narkuhs; the artist) or a link going back to one of my socials must be explicitly stated and/or declared anytime the art is showcased.
• No person is allowed to mint my artwork as a NFT (Non-Fungible Token); I'm not interested in partaking in cryptocurrencies and NFTs. My art, whether commissioned, pr-existing or merchandise work, cannot be minted into an NFT by commissioner nor anyone else.
• Commissions prioritized as first come, first to serve. I reserve the right to decline your order without being required to state any reason.
• Any edits can be made during the sketching and lining phase. Once sketch is approved I will commence working on line art ➝ coloring ➝ background. Edits should not exceed (3) rounds. Any further edits will cost extra fee of USD10.
• DO NOT GIVE ME DESCRIPTIVE REFERENCES. Commissioner should provide characters with a ready character reference so I only need to illustrate the character.SERVICES AND FEESPAYMENT• ANY COMMERCIAL PURCHASES WOULD TRIGGER ADDITIONAL PAYMENT OF 100% OF THE ORIGINAL COMMISSION / PERSONAL.
• Full payment will be made beforehand upon accepting the order, via PayPal invoice or bank transfer only.
• Any cancellation following accepting the order and before commencing the work will trigger an administrative fee of USD10.COPYRIGHT• All contents on Narkuhs platforms, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations are the exclusive property and copyright of Narkuhs and is protected by copyright, trademarks, patents, or other intellectual property rights and laws, registered or not.TRADEMARKS• “NARKUHS”, “Narkuhs”, logos, and other words and logos on Narkuhs’s Platforms are either unregistered trademarks or registered trademarks of Narkuhs, or are trademarks of other service providers which have been licensed by them for use on Narkuhs, and are protected by local and/or international trademark and other intellectual property rights and laws. Narkuhs and Narkuhs’s trademarks may not be used in connection with any service that does not relate to Narkuhs or in any manner that disparages or discredits Narkuhs. All other trademarks not owned by Narkuhs that appear on Narkuhs’s App are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Narkuhs.• All trademarks and service marks of Narkuhs and its affiliates displayed in connection with any Service are subject to the applicable laws and the international trademark protection. Unless expressly authorized by Narkuhs, you may not use any trademarks or service marks that you access through any service with any product or service that is not provided by Narkuhs, or in any manner that is likely to cause confusion among customers, or that might disparage or discredit Narkuhs and its affiliates. All other trademarks appearing on the Platform are the property of their respective owners, including third-party providers of products and services with links to the Services.INTELLECTUAL PROPERTY RIGHTS• All content on the Platform or used to create and operate the services, all intellectual property rights including patents, rights to inventions, copyright and related rights, trademarks, and service marks, business names and domain names, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of such rights, and rights to claim priority of such rights and all similar rights or types of protection which currently exist or will exist in the future in any part of the world, are the property of Narkuhs or its licensors.DISCLAIMER• NARKUHS SHALL NOT BE RESPONSIBLE FOR THE NON-PERFORMANCE AND/OR UNSATISFACTORY OR DELAYED PERFORMANCE, LOSSES, DAMAGES, ATTRIBUTED TO ANY OF THEM, NOT SPECIFICALLY STATED IN THESE TERMS.
• Narkuhs accepts no liability for any errors or omissions, on behalf of itself or third parties.
• Narkuhs excludes all implied warranties, terms and conditions. Narkuhs is not liable for any loss of money, goodwill, reputation, or any special, direct, indirect, or consequential damages arising directly or indirectly, out of your use of or your inability to use the Platform.
• You release and indemnify Narkuhs, its subsidiaries, affiliates, shareholders, directors and/or any of their officers and representatives in respect of any claim, demand, dispute, cost, damage, liability, or other consequence (direct or indirect) in performing their duties or providing services, on Narkuhs, and the Commissioner hereby specifically waives any claims that it may have under any applicable law.LIMITATION OF LIABILITIES• To the extent permitted by law, Narkuhs, its subsidiaries, affiliates, shareholders, directors, their officers, employees, agents, affiliates, and suppliers shall not be liable for any loss or damage whatsoever whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to, losses or damages attributed to loss of profits, goodwill, business opportunity, data, or other intangible losses arising out of or in connection with the client’s use of Narkuhs, its services, finished product, or these Terms (however arising, including negligence or otherwise and whether or not Narkuhs has been advised of the possibility of such losses or damages).• If you are dissatisfied with Narkuhs or any content or materials on it, your sole exclusive remedy is to discontinue your use of it. Further, you agree that any unauthorized use of Narkuhs and its services as a result of your negligent act or omission would result in irreparable injury to Narkuhs and Narkuhs shall treat any such unauthorized use as subject to the terms listed in these Terms.• In no event shall the liability of Narkuhs exceed the maximum amount paid by the commissioner.INDEMNIFICATION• To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Narkuhs, its parents, affiliates, , officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the service; and/or (ii) your violation of any term of these Terms.
